           Yinson Production has entered into a cooperation agreement with Carbon Circle AS to explore and deliver carbon capture projects as part of its broader carbon capture and storage (CCS) solutions.
          &#xD;
    &lt;/strong&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Under this agreement, the parties will focus on developing carbon capture as a service (“CCaaS”) for industrial emitters in Europe. The cooperation aims to capture CO₂ from chemical and combustion processes for subsequent transport and permanent geological storage, supporting emitters in their decarbonisation journeys while contributing to regional and global sustainability goals.

           This collaboration builds on the successful execution and delivery of the world’s first offshore post-combustion carbon capture unit, installed onboard Yinson Production’s Agogo FPSO. Carbon Circle will contribute its portfolio of modular post-combustion carbon capture facility designs, suitable for a wide range of industrial applications. These technologies will complement Yinson Production’s CCS strategy, enhancing its ability to provide integrated decarbonisation solutions.

            – Carbon Circle AS continues its involvement with the innovative Havstjerne CO2 Injection License, having recently completed another multidisciplinary engineering contract with Stella Maris CCS. This four-month study included the design of post-combustion CO2 capture units and offshore infrastructure utilities for large-scale CO2 sequestration.

           The Havstjerne project is a large-scale initiative to collect liquid CO2 from various locations across Europe, transport it to an offshore injection site, and inject it into a subsea reservoir.

An organization dedicated to the carbon capture market in Alberta will be established with location Calgary (CA) based on secondment of Norwegian carbon capture experts and project resources from the Rangeland base organization.

           Edmonton, June 11, 2024 –Canada Growth Fund Inc. (“CGF”), Gibson Energy Inc. (TSX: GEI) (“Gibson”), and Varme Energy Inc. (“Varme”) are pleased to announce a strategic partnership (the “Partnership”) to accelerate the development of Canada's first waste-to-energy facility with carbon capture technology (the “Project”). If successful, the Project will be located on Gibson land in the Heartland-area and will have the capability to process 200,000 tonnes per annum of municipal solid waste, diverting residential garbage from landfill. Such waste will be received pursuant to a 15-year contract that has been entered into by Varme and the City of Edmonton.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           This proposed greenfield waste-to-energy facility, which would be constructed by the Partnership and operated by Gibson, would have integrated carbon capture equipment enabling the Project to combust municipal solid waste and produce carbon-negative electricity. A front-end engineering and design (“FEED”) study is underway, and a final investment decision (“FID”) by the Partnership is planned in early 2025, with commissioning targeted in 2027

          &#xD;

  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Project supports the advancement of technologies fundamental to achieving a net-zero electricity grid across the country. Integrated waste-to-energy and Carbon Capture and Storage (“CCS”) has significant potential to be replicated in municipalities across Canada and to put Canada in a position to export this expertise globally. By accelerating local waste diversion, the Project will increase the supply of carbon negative electricity in Alberta by avoiding harmful methane emissions. Governments globally, including the Government of Canada and the Government of Alberta, have identified rapid reductions in methane emissions as key to limiting near-term climate impacts.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Partnership will collaborate to advance the development of the flagship Heartland project. Pursuant to the terms of the Partnership, should the Project reach a positive FID, Gibson, CGF and Varme would have a 50 percent, 40 percent and 10 percent ownership interest, respectively. In addition, CGF would provide a carbon price assurance mechanism in the form of a Carbon Credit Offtake (“CCO”) to purchase up to 200,000 tonnes per annum of compliance grade carbon credits generated by the Project at an initial price of $85 per tonne for a term of 15 years. The Project would retain the ability to sell up to 100,000 tonnes per annum of carbon emission reductions into alternative carbon markets, including as Bioenergy with CCS (“BECCS”) atmospheric carbon removal credits. The features of the proposed CCO, notably its large scale and its long-term fixed-price, build on CGF’s past transactions and help to de-risk and accelerate private CCS investment by establishing revenue certainty for Canadian projects. The Project benefits from this innovative CCO structure by having its compliance carbon credits de-risked while retaining the ability to sell high value carbon dioxide removal credits to leading corporations and brands.

            Varme Energy Inc., a subsidiary of GTH, has signed a waste agreement with the City of Edmonton.
           &#xD;
      &lt;/span&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/h3&gt;&#xD;
  &lt;h3&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;
  &lt;/h3&gt;&#xD;
  &lt;h3&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Scheduled to start by 2027, the initiative aims to divert 150,000 tonnes of residential waste from landfills each year. The project will see the construction of an advanced waste-to-energy facility in Edmonton, focused on sustainable waste management, energy generation and CCS.

  &lt;/h3&gt;&#xD;
&lt;/div&gt;&#xD;
&lt;div&gt;&#xD;

           This facility, the first of its kind in Canada, will integrate industrial-scale waste-to-energy processing with carbon capture technology.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            Andreas Karlsen, CEO of Varme Energy, highlighted the project's environmental and operational goals: “This agreement is an important step for in developing waste-to-energy facility, which will divert about  5 million tonnes of waste from landfills and capture 4.5 million tonnes of CO2 over its lifetime, approximately 190,000 tonnes of CO2 per year.”

    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The initiative is expected to create around 250 to 300 jobs during its construction and operational stages, showcasing the potential of public-private partnerships in environmental innovation.

    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           Varme Energy is exploring further opportunities in Canada and anticipates making more announcements about this and other waste-to-energy projects soon.

           The unit will be installed on Yinson’s newly awarded FPSO for the Agogo Integrated West Hub Development Project in Angola (“FPSO Agogo”). The FPSO will commence operation in 2025 on behalf of Eni Angola S.p.A., a wholly owned subsidiary of Azule Energy (“Azule”). Azule is Angola’s largest independent oil and gas producer, and a 50/50 joint venture between BP p.l.c. (“BP”) and Eni S.p.A. (“Eni”). The unit will be delivered in Q3 2024, and when in operation will perform partial capture of CO2 from the exhaust of a Gas Turbine and the chosen technology is an amine-based capture process.

           OSLO – Dec 20, 2022 – Green Transition Holding (GTH) has signed an agreement to sell its 49% ownership Green Bio, a bio energy development and asset owning company. Green Bio was established in 2021 to develop a bio energy district heating platform in Norway. Following a year and a half of development, GTH has decided to divest its shareholding. Today Green Bio owns ten operating bio energy plants, with a yearly production of about 20 GWh, as well as one large greenfield project under development.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            
          &#xD;
    &lt;/span&gt;&#xD;

      &lt;span&gt;&#xD;

            EDMONTON, Alberta - December, 2022 - Edmonton-based Varme Energy has signed a Memorandum of Understanding with a major industrial partner to pursue the development of a waste-to-energy facility with integrated carbon capture in the Alberta Industrial Heartland.

    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
            
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The agreement will allow the partners to move forward in identifying a suitable site for the facility, framework for a long term energy agreement, and establishes the requirements for a CO

    &lt;sub&gt;&#xD;

    &lt;span&gt;&#xD;

            solution on site. The establishment of a waste-to-energy facility in the Industrial Heartland could lead to the processing of up to 150 000 tons of waste per year from the Edmonton region, with up 200 000 tons annually of carbon emissions from combustion captured and stored.

    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;

            “Our technology will on this plant alone eliminate 95% of the carbon emissions, equalling to over 8 billion pounds of garbage over 25 years. We will generate 60 MWh of steam over 90% of the year. This produces enough heat for roughly 47.3 million, 20-minute hot showers annually.           The latest signed framework agreement for Ecvio is with Hafslund Oslo Celsio, which owns and operates Norway’s largest waste incineration plant at Klemetsrud, Oslo. The plant has the capacity to finalize 365,000 tonnes of residual and industrial waste per year. The surplus energy from the combustion process is used to produce electricity and district heating for commercial buildings, public buildings, and homes, throughout Oslo. In this way, waste that could otherwise end up in a landfill outside the Nordic region is recovered for energy, therefore waste incineration plays an important role in the circular economy. The service agreement for Ecvio began in May 2022 and has a maximum duration of up to six years. The agreement covers maintenance of the refractory, with an annual overhaul stop, and service and maintenance assignments in the event of an accident or emergency stop on the plant’s three furnaces. The service and maintenance assignment means that Ecvio is on duty 365 days a year, 24 hours a day.
         &#xD;

          Since August 2021, Ecvio has had a framework agreement with Returkraft, Kristiansand, which owns Norway’s largest incinerator where around 130,000 tonnes of waste is incinerated each year. The incineration produces electricity for 5,000 households and district heating for 200 companies and 3,000 households, and as much as 63 per cent of the energy in the waste is recovered at Returkraft. The contract has a duration of up to four years and includes maintenance of the refractory with an annual shutdown and on-call duty in the event of an accident or emergency stop. Ecvio is also on duty here all year round and is ready in the event of an accident.
         &#xD;

          “Achieving both these contracts required a long and tough competitive tender process. Ecvio secured these contracts by being able to offer the best total solution based on quality, competence, and price”, says Skoe.

            – Green Transition Holding (GTH), an industrial and environmental technology company, has signed an Exclusivity Agreement and Heads of Terms for a 50-year lease with Kilbride Resources, securing an industrial site permitted for the construction and operation of an Energy-from-Waste (EfW) facility near Birmingham, UK.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;br/&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           The Hams Hall facility will handle approximately 150,000 tonnes of non-recyclable waste per year and generate up to 150 GWh of electricity to replace natural gas and coal-fired electricity.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      &lt;br/&gt;&#xD;
    &lt;/span&gt;&#xD;

           The site has an approved planning permit to construct and operate an EfW facility, significantly reducing the project development and execution risk. The parties expect to sign a final Agreement for Lease in Q2 2022 and target financial close and the start of construction in 2023, with expected completion and the start of operations in 2025.

    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;

           Landfilled waste – one of the largest environmental issues in the world
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           An estimated 25% of all global warming today can be contributed to methane emissions from human activity. This is largely caused by the fact that methane is 84-86 times more effective than CO2 at trapping heat in the atmosphere1. Out of the 340 million tonnes of methane emissions originating from human activity annually, approximately 16% derive from landfill as waste left to decompose generates methane leaking directly into the atmosphere.
          &#xD;
    &lt;/span&gt;&#xD;
  &lt;/p&gt;&#xD;
  &lt;p&gt;&#xD;
    &lt;span&gt;&#xD;
      
           – Eliminating methane emissions from landfills is a key priority for GTH, says CEO Paal Skoe. Diverting waste streams from landfill to EfW facilities such as the Hams Hall reduces GHG emissions by approximately 70% and replaces fossil fuels with local-to-local energy.

The modular set-up is “CCS ready” and offers a flexible and carbon-neutral waste handling solution for the future.

          Styret i Green Transition Holding AS mottok i midten av februar 2021 en henvendelse fra en gruppe interessante investorer som ønsket å investere i selskapet.

          During February 2021, the board of directors of Green Transition Holding AS has been approached by a group of interesting investors intending to invest in the company.

          Green Transition Holding AS is registered on the NOTC-list as of 21 December 2020 with ticker code GTH. The company has issued 12,237,027 shares each with a par value NOK 0.01, all of which is registered in the VPS with ISIN code NO 001 0905029. Based on the last traded price (equity issue closed on 30 September 2020) the market capitalization is NOK 174,989,486.10 (NOK 14.30 per share). The company has entered into an agreement whereby it will be able to use the NOTC reporting system as from 21 December 2020.
